    1. 개요 및 목적

    Overview and Purpose

     

     

    본 「SEC 평가 운영규정(요약)」은 SEC가 기업·공공기관 및 기타 조직을 대상으로 수행하는 책임경영 평가의 기본적인 운영원칙과 절차를 백서의 목적에 맞게 요약하여 제시한다.

     

    This “Summary of the SEC Evaluation Regulations” presents, in a form appropriate for the purposes of this White Paper, the fundamental operating principles and procedures governing SEC’s Responsible Management evaluations of corporations, public institutions, and other organizations.

     

    SEC 평가는 SEC 평가방법론(SEC Evaluation Methodology), SEC 평가체계(SEC Evaluation Framework), SEC 평가지표 체계(SEC Indicator System) 및 관련 평가기준과 운영규정에 따라 수행하며, 평가결과를 종합적으로 반영하여 WF책임경영지수(WF Sustainable Responsibility Index, WFSRI)를 산출한다.

     

    SEC evaluations are conducted in accordance with the SEC Evaluation Methodology, SEC Evaluation Framework, SEC Indicator System, and applicable Evaluation Criteria and operational regulations, and the WF Sustainable Responsibility Index (WFSRI) is derived by integrating the resulting evaluation outcomes.

     

    본 운영규정은 평가의 독립성(Independence), 공정성(Fairness), 객관성(Objectivity), 전문성(Professionalism), 투명성(Transparency), 신뢰성(Reliability)을 확보하고, 평가자료의 수집과 검증, 평가결과의 확정과 공표, 사실확인과 이의신청 및 관련 평가결과 체계와 인증제도의 운영에 필요한 기본적인 기준을 정하는 것을 목적으로 한다.

     

    The Regulations are intended to support the Independence, Fairness, Objectivity, Professionalism, Transparency, and Reliability of evaluation and to establish fundamental standards relating to the collection and verification of evaluation information, finalization and disclosure of evaluation results, Factual Review and Appeal, and the operation of related evaluation result and certification systems.

     

     

     

    2. 적용범위

    Scope of Application

     

     

    본 운영규정은 SEC가 수행하는 기업·공공기관 및 기타 조직에 대한 평가와 이에 관련된 평가결과의 확정·공표 및 SEC WFSRI Rating, SEC WFSRI Certification 등 관련 제도의 운영에 적용한다.

     

    The Regulations apply to SEC evaluations of corporations, public institutions, and other organizations, as well as to the finalization and disclosure of related evaluation results and the operation of related systems, including the SEC WFSRI Rating and SEC WFSRI Certification.

     

    평가대상은 평가의 목적과 범위, 공익성·공공성·사회적 필요성 및 관련 기준과 운영규정 등을 고려하여 정한다. 기업의 경우 이해관계자와 시장에 미치는 영향 등을 고려할 수 있으며, 공공기관의 경우 공공성, 국민생활에 미치는 영향 및 재정투입 등을 고려할 수 있다.

     

    Evaluated organizations are determined with consideration of the purpose and scope of the evaluation, public interest, public responsibility, social necessity, and applicable standards and operational regulations. For corporations, consideration may include their impacts on stakeholders and markets; for public institutions, consideration may include their public responsibilities, impacts on citizens’ lives, and the use of public financial resources.

     

    SEC 평가지표 체계를 구성하는 세부평가지표는 기업·공공기관 및 기타 조직에 공통적으로 적용하는 것을 원칙으로 한다.

     

    As a general principle, the Detailed Evaluation Indicators comprising the SEC Indicator System are applied commonly to corporations, public institutions, and other organizations.

     

    다만 평가대상의 유형·규모·기능·사업특성 및 운영환경 등을 고려하여 각 지표의 평가목적과 실질적으로 관련성이 인정되는 정책, 제도, 사업, 활동, 투자, 자원투입, 운영체계 및 성과 등을 종합적으로 평가할 수 있다.

     

    However, taking into account the type, scale, functions, business characteristics, and operating environment of the evaluated organization, SEC may comprehensively evaluate policies, institutional arrangements, projects, activities, investments, resource inputs, operating systems, and performance that are substantively relevant to the purpose of each indicator.

     

     

     

    3. 평가의 기본 운영원칙

    Fundamental Operating Principles of Evaluation

     

     

    SEC는 모든 평가 및 관련 인증업무를 독립성(Independence), 공정성(Fairness), 객관성(Objectivity), 전문성(Professionalism), 투명성(Transparency), 신뢰성(Reliability)의 6대 기본원칙에 따라 수행한다.

     

    SEC conducts all evaluation and related certification activities in accordance with six Fundamental Principles: Independence, Fairness, Objectivity, Professionalism, Transparency, and Reliability.

     

    6대 기본원칙의 구체적인 의미와 평가철학과의 관계는 본 백서 제3장 「평가철학·기본원칙」에서 설명한 바에 따른다.

     

    The specific meaning of the Six Fundamental Principles and their relationship with the Evaluation Philosophy are explained in Chapter III, “Evaluation Philosophy and Fundamental Principles,” of this White Paper.

     

    평가기준의 일관된 적용은 모든 평가대상을 기계적으로 동일하게 평가한다는 의미가 아니다. SEC는 공통된 평가목적과 평가기준을 유지하면서 평가대상의 유형·규모·기능·사업특성 및 운영환경 등을 합리적으로 고려할 수 있다.

     

    Consistent application of Evaluation Criteria does not mean mechanically evaluating all evaluated organizations in an identical manner. SEC may reasonably consider the type, scale, functions, business characteristics, and operating environment of an evaluated organization while maintaining common evaluation objectives and Evaluation Criteria.

     

     

     

    4. 평가의 독립성과 이해상충 관리

    Evaluation Independence and Conflict-of-Interest Management

     

     

    SEC는 평가 전 과정에서 경영과 전문적인 평가판단을 구분하고, 평가업무가 정해진 기준과 절차에 따라 독립적으로 수행될 수 있도록 필요한 운영체계와 내부통제를 유지한다.

     

    SEC distinguishes management functions from professional evaluation judgment and maintains the operating structure and internal controls necessary to enable evaluation activities to be conducted independently in accordance with established criteria and procedures.

     

    평가위원 및 평가업무에 참여하는 관계자는 이해상충이 발생하거나 발생할 우려가 있는 경우 해당 평가와 심의에서 배제하는 것을 원칙으로 한다.

     

    Evaluators and other personnel participating in evaluation activities are, in principle, excluded from an evaluation or deliberation where an actual or potential Conflict of Interest exists.

     

    SEC는 평가대상과의 경제적·사업적 관계가 개별 평가결과·평가등급 또는 인증결정에 부당한 영향을 미치지 않도록 관리한다. 특히 평가결과·평가등급 또는 인증결정의 유리한 변경을 조건으로 금전적 또는 기타 경제적 이익을 요구하거나 제공받지 않으며, 평가업무와 기타 사업 사이에서 발생할 수 있는 이해상충을 식별·예방·관리한다.

     

    SEC manages its economic and business relationships with evaluation subjects to ensure that such relationships do not improperly influence individual evaluation results, Ratings, or certification decisions. In particular, SEC does not request or accept monetary or other economic benefits in exchange for favorable changes to evaluation results, Ratings, or certification decisions, and identifies, prevents, and manages conflicts of interest that may arise between evaluation activities and other business activities.

     

    경제적·사업적 관계의 존재 여부 또는 재정적 기여 여부는 그 자체로 개별 평가결과·평가등급 또는 인증결정을 유리하거나 불리하게 하는 근거가 될 수 없으며, SEC는 필요한 경우 업무분리, 정보차단, 제척·회피 등 적절한 이해상충 관리조치를 적용한다.

     

    The existence of an economic or business relationship, or the provision of financial contributions, shall not in itself constitute a basis for favorably or unfavorably affecting individual evaluation results, Ratings, or certification decisions. Where necessary, SEC applies appropriate conflict-of-interest management measures, including functional separation, information barriers, recusal, and avoidance.

     

    평가결과는 정해진 평가절차와 평가위원회의 독립적인 심의를 거쳐 최종 확정한다.

     

    Evaluation results are finalized through established evaluation procedures and independent deliberation by the Evaluation Committee.

     

     

     

    5. 평가자료 및 평가절차

    Evaluation Information and Procedures

     

     

    SEC 평가는 공개자료, 공식자료, 법정 공시자료, 평가대상 조직이 공식적으로 제출하거나 공개한 자료 및 기타 객관적으로 확인 가능한 자료와 검증 가능한 근거를 기반으로 수행한다.

     

    SEC evaluations are conducted on the basis of public information, official information, statutory disclosures, information formally submitted or disclosed by evaluated organizations, and other objectively verifiable information and evidence.

     

    SEC는 평가자료의 출처·신뢰성·관련성·객관성 및 검증가능성 등을 확인하며, 필요한 경우 추가자료를 확인하거나 복수의 자료를 비교·검증할 수 있다. 자료의 제출 여부 또는 제출자료의 양 자체가 평가결과를 결정하지 않는다.

     

    SEC reviews the source, reliability, relevance, objectivity, and verifiability of evaluation information and may, where necessary, review additional information or compare and verify multiple sources. Neither the submission of information nor the volume of submitted materials in itself determines an evaluation result.

     

    평가의 기본적인 절차는 다음과 같다.

    필요한 경우 평가의 정확성과 신뢰성을 확보하기 위하여 추가자료의 확인 또는 현장확인 등 필요한 검증절차를 실시할 수 있다.

     

    Where necessary, additional verification procedures, including review of supplementary information or on-site verification, may be conducted to support the accuracy and Reliability of the evaluation.

     

     

     

    6. 사실확인 및 이의신청

    Factual Review and Appeal

     

     

    사실확인(Factual Review)은 평가결과를 최종 확정하기 전에 평가에 사용된 사실관계와 자료의 정확성 및 객관적인 오류 여부 등을 확인하기 위한 절차이다.

     

    Factual Review is a procedure conducted before the finalization of evaluation results to verify factual matters, the accuracy of information used in evaluation, and the existence of objective errors.

     

    평가대상 조직은 관련 사실확인 절차에 따라 사실관계 또는 자료의 정확성을 확인하기 위한 자료를 제출할 수 있으며, SEC는 객관적인 사실 또는 자료상의 오류가 확인되는 경우 필요한 범위에서 이를 평가에 반영할 수 있다.

     

    An evaluated organization may submit information to verify factual matters or the accuracy of data in accordance with applicable Factual Review procedures. Where an objective factual or data error is identified, SEC may reflect the correction in the evaluation to the extent necessary.

     

    이의신청(Appeal)은 평가결과가 확정된 이후 객관적인 사실의 오류, 제출자료의 처리 또는 평가절차와 관련하여 확인이 필요한 사항에 대하여 관련 절차에 따라 검토를 요청하는 절차이다.

     

    An Appeal is a procedure through which, after evaluation results have been finalized, a review may be requested in accordance with applicable procedures regarding objective factual errors, the handling of submitted materials, or matters requiring verification in relation to the evaluation process.

     

    사실확인과 이의신청은 평가등급이나 평가기준을 협의하거나 평가위원 또는 평가기관의 전문적인 평가판단의 변경을 요구하기 위한 절차가 아니다.

     

    Factual Review and Appeal are not procedures for negotiating evaluation Ratings or Evaluation Criteria or for requiring changes to the professional evaluation judgments of evaluators or the evaluation institution.

     

    평가대상 조직은 사실확인 또는 이의신청 절차를 이용하였다는 이유만으로 평가에서 불이익을 받지 않는다.

     

    An evaluated organization shall not be disadvantaged in an evaluation solely because it has used a Factual Review or Appeal procedure.

     

     

     

    7. 평가결과의 확정·공표 및 후속 체계

    Finalization, Disclosure, and Subsequent Evaluation Result Systems

     

     

    평가결과는 정해진 평가절차와 평가위원회의 심의를 거쳐 최종 확정한다.

     

    Evaluation results are finalized through established evaluation procedures and deliberation by the Evaluation Committee.

     

    최종 평가결과의 공표 범위·방법 및 시기는 SEC의 관련 평가 운영규정과 평가결과 공표에 관한 기준에 따라 정한다.

     

    The scope, method, and timing of disclosure of final evaluation results are determined in accordance with SEC’s applicable evaluation regulations and standards governing the disclosure of evaluation results.

     

    최종 확정된 평가결과는 WFSRI 산출에 반영되며, WFSRI와 관련 평가결과는 각각의 목적·기준 및 운영규정에 따라 SEC WFSRI Rating 및 SEC WFSRI Certification 등 관련 평가결과 체계와 인증제도의 운영에 활용될 수 있다.

     

    Finalized evaluation results are reflected in the derivation of the WFSRI, and the WFSRI and related evaluation results may be used in the operation of related evaluation result and certification systems, including the SEC WFSRI Rating and SEC WFSRI Certification, in accordance with their respective purposes, criteria, and operational regulations.

     

    SEC WFSRI Rating과 SEC WFSRI Certification은 서로 구별되는 제도이며, 특정 Rating의 부여가 Certification의 자동적인 부여를 의미하지 않는다. Rating의 구체적인 체계는 제9장, Certification의 의미와 운영원칙은 제10장에서 각각 설명한다.

     

    The SEC WFSRI Rating and SEC WFSRI Certification are distinct systems, and the assignment of a particular Rating does not automatically result in Certification. The Rating system is explained in Chapter IX, while the meaning and operating principles of Certification are explained in Chapter X.

     

     

     

    8. 비밀유지 및 평가정보의 보호

    Confidentiality and Protection of Evaluation Information

     

     

    SEC는 평가 및 인증과정에서 취득하거나 생성한 비공개 자료와 정보를 관련 법령과 내부규정 및 운영기준에 따라 적절하게 관리한다.

     

    SEC appropriately manages non-public information and materials obtained or generated during evaluation and certification processes in accordance with applicable laws, internal regulations, and operational standards.

     

    평가 및 인증과정에서 수집된 비공개 자료와 정보는 정해진 업무목적과 허용된 범위에서만 이용하며, 평가위원 및 관련 업무 참여자는 직무수행 과정에서 알게 된 비공개 정보를 정당한 사유 없이 제3자에게 공개하거나 목적 외로 사용하여서는 아니 된다.

     

    Non-public information and materials collected during evaluation and certification processes are used only for established operational purposes and within authorized scope. Evaluators and other personnel involved in relevant activities shall not, without legitimate grounds, disclose non-public information obtained in the course of their duties to third parties or use it for unauthorized purposes.

     

    SEC 평가지표 체계를 구성하는 159개 세부평가지표와 그 가운데 선정된 50개 SEC 핵심가치지표(CVIs)의 존재와 기본적인 구조 및 상호관계는 본 백서에서 설명할 수 있다.

     

    The existence, basic structure, and relationship of the 159 Detailed Evaluation Indicators comprising the SEC Indicator System and the 50 SEC Core Value Indicators (CVIs) selected from among them may be described in this White Paper.

     

    다만 개별 세부평가지표와 핵심가치지표(CVIs)의 구체적인 구성·적용정보, 세부 평가기준, 판단기준, 배점 및 가중치, 구체적인 산출방식, 내부 조정·검증기준 및 기타 구체적인 평가기법 등 평가의 독립성·공정성·객관성 및 신뢰성을 확보하기 위하여 보호할 필요가 있는 정보는 관련 정책과 운영기준에 따라 공개범위를 정하고, 평가 수행에 필요한 범위에서 제한적으로 관리·공유한다.

     

    However, the scope of disclosure for information requiring protection in order to safeguard the Independence, Fairness, Objectivity, and Reliability of evaluation—including the specific composition and application information of individual Detailed Evaluation Indicators and Core Value Indicators (CVIs), detailed Evaluation Criteria, judgment standards, scores and weights, specific calculation methods, internal adjustment and validation standards, and other specific evaluation techniques—is determined in accordance with applicable policies and operational standards, and such information is managed and shared on a restricted basis to the extent necessary for conducting the evaluation.

     

     

    9. 운영규정의 검토·개정 및 본 부록의 성격

    Review and Revision of the Regulations and Nature of This Appendix

     

     

    SEC는 사회·산업·기술환경과 평가환경의 변화, 관련 연구의 발전 및 국내외 책임경영 관련 기준과 논의의 변화 등을 반영하기 위하여 평가 운영규정을 검토하고 필요한 경우 개정할 수 있다.

     

    SEC may review and, where necessary, revise its evaluation regulations to reflect changes in social, industrial, technological, and evaluation environments, developments in relevant research, and changes in domestic and international standards and discussions concerning Responsible Management.

     

    운영규정의 개정은 평가의 독립성·공정성·객관성·전문성·투명성·신뢰성을 유지하면서 관련 연구와 검토를 바탕으로 이루어진다. 개정규정의 시행일과 적용범위는 해당 규정에서 정한다.

     

    Revisions to the Regulations are made on the basis of relevant research and review while maintaining the Independence, Fairness, Objectivity, Professionalism, Transparency, and Reliability of evaluation. The effective date and scope of application of revised Regulations are determined by the applicable Regulations.

     

    본 「SEC 평가 운영규정(요약)」은 SEC 평가 운영규정의 주요 운영원칙과 절차 가운데 평가대상과 백서 이용자가 이해할 필요가 있는 사항을 백서의 목적에 맞게 요약·정리한 참고자료이다.

     

    This “Summary of the SEC Evaluation Regulations” is a reference document presenting, in a form appropriate for the purposes of this White Paper, those principal operating principles and procedures of the SEC Evaluation Regulations that evaluated organizations and users of this White Paper need to understand.

     

    본 부록은 SEC 평가 운영규정 전문을 대체하지 않으며, 구체적인 평가·평가결과 공표·Rating·Certification 및 관련 절차는 해당 시점에 적용되는 관련 규정·기준 및 절차에 따른다.

     

    This Appendix does not replace the full text of the SEC Evaluation Regulations. Specific matters relating to evaluation, disclosure of evaluation results, Rating, Certification, and related procedures are governed by the regulations, criteria, and procedures applicable at the relevant time.
