Roles of the Board of Directors and the Evaluation Committee
평가기관의 독립성을 실질적으로 확보하기 위해서는 회사의 경영에 관한 의사결정과 개별 평가에 관한 전문적 판단의 권한과 책임이 명확하게 구분되어야 한다.
To safeguard the substantive independence of an evaluation institution, the authority and responsibilities for corporate management decisions must be clearly distinguished from those for professional judgments concerning individual evaluations.
회사의 정상적인 경영과 평가업무에 대한 지원은 필요하지만, 경영상의 권한이나 이해관계가 개별 평가판단에 영향을 미치게 되면 평가의 독립성과 신뢰성이 훼손될 수 있기 때문이다.
Normal corporate management and support for evaluation activities are necessary, but the Independence and Reliability of Evaluation may be compromised if management authority or interests influence individual evaluation judgments.
SEC(Sustainable Enterprise Evaluation Commission)는 이러한 원칙에 따라 이사회와 평가위원회의 역할을 구분한다. 이사회는 회사의 경영과 평가업무 수행에 필요한 제도적·운영적 기반을 담당하고, 평가위원회는 정해진 평가원칙과 절차에 따라 개별 평가에 관한 전문적 검토와 심의를 담당한다.
In accordance with this principle, SEC (Sustainable Enterprise Evaluation Commission) distinguishes the roles of the Board of Directors and the Evaluation Committee. The Board of Directors is responsible for the institutional and operational foundation necessary for corporate management and evaluation activities, while the Evaluation Committee is responsible for professional review and deliberation concerning individual evaluations in accordance with established evaluation principles and procedures.
Ⅰ. 이사회의 역할
I. Role of the Board of Directors
이사회는 SEC의 경영과 지속적인 운영에 필요한 주요 사항을 심의·의결하고, 평가업무가 독립적이고 안정적으로 수행될 수 있도록 필요한 조직·인력·재정 및 업무환경을 지원한다.
The Board of Directors deliberates and decides on major matters necessary for the management and continued operation of SEC and supports the organizational, human, financial, and operational environment necessary for evaluation activities to be conducted independently and reliably.
이사회는 평가제도의 운영과 발전에 필요한 조직적·제도적 기반을 마련할 수 있으나, 이러한 권한은 개별 평가대상에 대한 전문적 평가판단이나 평가결과를 특정 방향으로 변경할 수 있는 권한을 의미하지 않는다.
The Board of Directors may establish the organizational and institutional foundation necessary for the operation and development of the evaluation system. Such authority, however, does not constitute authority to alter professional evaluation judgments or evaluation results concerning an individual evaluation subject in a particular direction.
이사회는 평가위원회가 정해진 평가원칙과 절차에 따라 전문적인 판단을 수행할 수 있는 환경을 유지하고 평가의 독립성을 존중한다.
The Board of Directors maintains an environment in which the Evaluation Committee can exercise professional judgment in accordance with established evaluation principles and procedures and respects the Independence of Evaluation.
Ⅱ. 평가위원회의 역할
II. Role of the Evaluation Committee
평가위원회는 개별 평가에 관한 전문적 검토와 심의를 수행하는 평가기구로서, SEC 평가방법론(SEC Evaluation Methodology), SEC 평가체계(SEC Evaluation Framework), 객관적인 평가자료와 검증 가능한 정보 및 정해진 평가절차를 바탕으로 평가에 관한 전문적 판단을 수행한다.
The Evaluation Committee is an evaluation body responsible for professional review and deliberation concerning individual evaluations. It exercises professional evaluation judgment on the basis of the SEC Evaluation Methodology, the SEC Evaluation Framework, objective evaluation materials, verifiable information, and established evaluation procedures.
평가위원회는 평가과정에서 도출된 자료와 평가내용을 전문적으로 검토하고, 필요한 심의를 거쳐 개별 평가에 관한 판단을 수행한다.
The Evaluation Committee professionally reviews evaluation materials and findings produced through the evaluation process and makes judgments concerning individual evaluations through necessary deliberation.
평가위원은 개인적 이해관계나 외부 또는 내부의 부당한 영향에 따라 평가판단을 변경해서는 안 되며, 정해진 권한과 책임에 따라 독립적으로 평가업무를 수행한다.
Evaluation Committee members must not alter evaluation judgments because of personal interests or undue external or internal influence and perform their evaluation duties independently in accordance with their established authority and responsibilities.
Ⅲ. 이사회와 평가위원회의 역할 구분
III. Separation of Roles between the Board of Directors and the Evaluation Committee
이사회와 평가위원회의 역할 구분은 두 조직을 단절하기 위한 것이 아니라, 회사의 정상적인 경영과 평가의 전문적 독립성이 각각의 권한과 책임에 따라 기능하도록 하기 위한 것이다.
The separation of roles between the Board of Directors and the Evaluation Committee is not intended to disconnect the two bodies, but to ensure that normal corporate management and the professional Independence of Evaluation function in accordance with their respective authority and responsibilities.
이사회는 회사의 경영과 평가업무 수행에 필요한 제도적·운영적 기반을 담당하고, 평가위원회는 개별 평가에 관한 전문적 검토와 심의를 담당한다.
The Board of Directors is responsible for the institutional and operational foundation necessary for corporate management and evaluation activities, while the Evaluation Committee is responsible for professional review and deliberation concerning individual evaluations.
이사회는 정당한 경영권의 행사를 이유로 개별 평가에 관한 전문적 판단에 부당하게 개입해서는 안 되며, 평가위원회 역시 회사의 경영에 관한 권한을 대신하지 않는다.
The Board of Directors must not improperly interfere with professional judgments concerning individual evaluations under the pretext of exercising legitimate management authority, and the Evaluation Committee does not assume the authority of corporate management.
Ⅳ. 평가 독립성을 위한 상호 역할
IV. Respective Roles in Safeguarding Evaluation Independence
평가의 독립성은 경영기능과 평가기능 가운데 어느 한쪽의 권한을 약화시키는 방식으로 확보하는 것이 아니다. 각각의 권한과 책임을 명확히 하고, 경영은 평가업무가 독립적으로 수행될 수 있는 기반을 지원하며, 평가는 전문적 판단에 대한 독립성을 유지하는 방식으로 확보한다.
The Independence of Evaluation is not safeguarded by weakening the authority of either the management function or the evaluation function. It is safeguarded by clearly defining their respective authority and responsibilities, with management supporting the foundation for independent evaluation activities and the evaluation function maintaining the independence of professional judgment.
SEC는 이러한 역할 구분을 통해 회사의 정상적인 경영과 평가위원회의 전문적 독립성이 조화를 이루고, 개별 평가에 관한 판단이 정해진 평가원칙과 절차에 따라 객관적이고 공정하게 이루어질 수 있도록 한다.
Through this separation of roles, SEC ensures that normal corporate management and the professional independence of the Evaluation Committee function in balance and that judgments concerning individual evaluations are made objectively and fairly in accordance with established evaluation principles and procedures.
