    Separation of Management and Evaluation

     

     

    SEC(Sustainable Enterprise Evaluation Commission)는 평가의 독립성과 공정성을 확보하기 위하여 회사의 경영 및 사업운영에 관한 의사결정과 개별 평가대상에 대한 전문적인 평가판단을 구분한다.

     

    SEC (Sustainable Enterprise Evaluation Commission) distinguishes decisions concerning corporate management and business operations from professional evaluation judgments concerning individual evaluation subjects in order to safeguard the Independence and Fairness of its evaluations.

     

    경영은 SEC의 지속적인 운영과 발전을 위하여 필요한 조직·인력·재정 및 업무환경을 조성하고 지원하는 역할을 수행하며, 평가는 SEC 평가방법론(SEC Evaluation Methodology)과 SEC 평가체계(SEC Evaluation Framework), 객관적인 평가자료와 검증 가능한 정보 및 정해진 평가절차에 따라 독립적으로 수행한다.

     

    Management is responsible for establishing and supporting the organizational, human, financial, and operational environment necessary for the continued operation and development of SEC, while evaluations are conducted independently in accordance with the SEC Evaluation Methodology, the SEC Evaluation Framework, objective evaluation materials, verifiable information, and established evaluation procedures.

     

     

     

    Ⅰ. 경영과 평가의 역할 구분

    I. Separation of Management and Evaluation Functions

     

     

    SEC는 회사의 경영 및 사업운영에 관한 의사결정과 개별 평가에 관한 전문적 판단의 역할과 책임을 구분한다.

     

    SEC distinguishes the roles and responsibilities of decision-making concerning corporate management and business operations from professional judgments concerning individual evaluations.

     

    경영은 조직운영, 인사, 재정, 사업계획 및 업무환경 등 회사 운영에 필요한 사항을 관리하고, 평가업무가 안정적이고 전문적으로 수행될 수 있도록 필요한 기반과 자원을 지원한다.

     

    Management oversees matters necessary for corporate operations, including organizational management, personnel, finance, business planning, and the working environment, and provides the foundation and resources necessary for evaluation activities to be conducted in a stable and professional manner.

     

    개별 평가에 관한 자료의 분석, 전문적 판단, 평가결과의 도출 및 평가위원회 심의 등 평가에 관한 사항은 정해진 평가원칙과 절차에 따라 수행한다.

     

    Matters concerning individual evaluations, including the analysis of evaluation materials, professional judgment, derivation of evaluation results, and Evaluation Committee deliberation, are carried out in accordance with established evaluation principles and procedures.

     

     

     

    Ⅱ. 전문적 평가판단의 독립성

    II. Independence of Professional Evaluation Judgment

     

     

    개별 평가에 관한 전문적 판단은 평가대상의 규모, 사회적 영향력, 경제적·사업적 관계 또는 기타 이해관계에 따라 임의로 변경되지 않는다.

     

    Professional judgments concerning individual evaluations are not arbitrarily altered on the basis of the size or social influence of an evaluation subject, economic or business relationships, or other interests.

     

    경영진의 회사 운영에 관한 권한은 개별 평가대상에 대한 평가판단·평가결과·평가등급 또는 인증결정을 부당하게 변경하거나 이에 개입할 수 있는 권한을 의미하지 않는다.

     

    Management authority over corporate operations does not constitute authority to improperly alter or interfere with evaluation judgments, evaluation results, Ratings, or Certification decisions concerning individual evaluation subjects.

     

    개별 평가에 관한 전문적 판단은 객관적인 자료와 검증 가능한 정보, SEC 평가방법론과 SEC 평가체계 및 정해진 평가절차에 따라 이루어진다.

     

    Professional judgments concerning individual evaluations are made on the basis of objective data, verifiable information, the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation procedures.

     

     

    Ⅲ. 평가조직과 평가위원의 전문적 판단 보호

    III. Protection of Professional Judgment by the Evaluation Organization and Evaluation Committee Members

     

     

    SEC는 평가업무를 수행하는 조직과 평가위원이 정해진 권한과 책임에 따라 전문적인 판단을 독립적으로 수행할 수 있도록 한다.

     

    SEC enables the organization responsible for evaluation activities and Evaluation Committee members to exercise professional judgment independently in accordance with their established authority and responsibilities.

     

    평가업무 수행자와 평가위원은 정당한 평가절차를 벗어난 지시·압력·청탁 또는 기타 부당한 개입에 따라 평가판단을 변경해서는 안 된다.

     

    Persons engaged in evaluation activities and Evaluation Committee members must not alter evaluation judgments in response to instructions, pressure, solicitation, or other improper interference outside legitimate evaluation procedures.

     

    평가에 관한 의견의 차이나 전문적인 검토 및 심의는 정해진 평가절차 안에서 이루어지며, 이러한 절차에 따른 검토와 심의는 평가의 독립성을 침해하는 것으로 보지 않는다.

     

    Differences of professional opinion, review, and deliberation concerning an evaluation are addressed within established evaluation procedures, and review and deliberation conducted in accordance with such procedures are not regarded as compromising the Independence of Evaluation.

     

     

     

    Ⅳ. 경영지원과 평가판단의 구분

    IV. Distinction between Management Support and Evaluation Judgment

     

     

    평가의 독립성은 경영과 평가 사이의 모든 업무적 관계를 단절하는 것을 의미하지 않는다.

     

    The Independence of Evaluation does not mean eliminating all operational relationships between management and evaluation functions.

     

    경영진은 평가업무의 전문성과 지속가능한 운영을 위하여 필요한 조직·인력·재정·정보시스템 및 업무환경을 지원하고 관련 제도와 내부통제체계를 마련할 수 있다.

     

    Management may support the organizational, human, financial, information-system, and operational resources necessary for the professional and sustainable operation of evaluation activities and may establish relevant systems and internal controls.

     

    이러한 경영지원은 평가업무가 안정적이고 전문적으로 수행될 수 있도록 하기 위한 것으로, 개별 평가대상에 대한 전문적 판단이나 평가결과에 부당하게 개입하기 위한 수단으로 사용되어서는 안 된다.

     

    Such management support is intended to enable evaluation activities to be conducted in a stable and professional manner and must not be used as a means of improperly interfering with professional judgments or evaluation results concerning individual evaluation subjects.

     

     

     

    Ⅴ. 이해상충의 식별과 관리

    V. Identification and Management of Conflicts of Interest

     

     

    SEC는 경영 및 사업활동과 평가업무 사이에서 이해상충이 발생하거나 발생할 가능성이 있는 경우 이를 식별하고 평가의 독립성과 공정성을 보호하기 위한 적절한 관리조치를 적용한다.

     

    Where an actual or potential conflict of interest arises between management or business activities and evaluation activities, SEC identifies the conflict and applies appropriate management measures to protect the Independence and Fairness of Evaluation.

     

    경제적·사업적 관계의 존재 여부 또는 재정적 기여 여부는 그 자체로 개별 평가결과·평가등급 또는 인증결정을 유리하거나 불리하게 하는 근거가 될 수 없다.

     

    The existence of an economic or business relationship or financial contribution must not, in itself, serve as a basis for favorable or unfavorable treatment in individual evaluation results, Ratings, or Certification decisions.

     

    SEC는 이해상충의 성격과 정도에 따라 필요한 경우 업무분리, 정보차단, 제척·회피 등 적절한 관리조치를 적용한다.

     

    Depending on the nature and extent of a conflict of interest, SEC applies appropriate management measures where necessary, including separation of duties, information barriers, recusal, and avoidance.

    Ⅵ. 경영과 평가 분리의 지속적 관리

    VI. Ongoing Management of the Separation between Management and Evaluation

     

     

    SEC는 경영과 평가의 역할과 책임을 명확하게 구분하고, 평가의 독립성에 영향을 미칠 수 있는 사항을 지속적으로 확인·관리한다.

     

    SEC clearly distinguishes the roles and responsibilities of management and evaluation functions and continuously identifies and manages matters that may affect the Independence of Evaluation.

     

    경영과 평가의 분리는 평가조직을 회사의 관리체계로부터 완전히 분리하기 위한 것이 아니라, 회사의 정상적인 경영과 지원체계 안에서도 개별 평가에 관한 전문적 판단이 부당한 영향을 받지 않도록 보호하기 위한 원칙이다.

     

    The separation of management and evaluation is not intended to completely detach the evaluation function from the company’s management structure. Rather, it is a principle designed to protect professional judgments concerning individual evaluations from undue influence while maintaining the company’s normal management and support systems.

     

    SEC는 이러한 원칙을 바탕으로 경영의 책임성과 평가의 전문적 독립성이 조화를 이루도록 관리하고, 객관적이고 공정하며 신뢰할 수 있는 평가가 이루어질 수 있는 평가환경을 지속적으로 유지한다.

     

    Based on this principle, SEC manages its operations so that management accountability and professional evaluation independence are appropriately balanced and continuously maintains an evaluation environment that supports objective, fair, and reliable evaluation.
